Last updated: October 8, 2026

These Terms of Use (“Terms”) govern access to and use of optmable.com (the “Website”), operated by Optmable (“Optmable,” “we,” “us,” or “our”), a business based in São Paulo, Brazil.

By accessing or using the Website, you agree to these Terms. If you access or use the Website on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not use the Website.

1. About the Website

Optmable provides information about its capabilities and services, which may include software development, business process automation, artificial intelligence solutions, system integrations, and related technical and consulting services.

The Website allows visitors to learn about Optmable, submit inquiries, and request an initial consultation.

All Website content is provided for general informational purposes only. It does not constitute a binding offer, professional advice, or a guarantee that any particular service or solution will be available or suitable for your business.

Specific services, features, deliverables, pricing, and availability are determined on a case-by-case basis.

2. Contact forms and initial consultations

When submitting a contact form, booking a call, or otherwise contacting Optmable, you agree to:

  • Provide accurate, current, and complete information.
  • Ensure that you are authorized to share any business information or personal data you submit.
  • Avoid submitting unlawful, misleading, or unauthorized content.
  • Use the contact channels for legitimate business inquiries.

Initial consultations are provided free of charge unless otherwise stated. A consultation does not create a client relationship, obligate either party to enter into an agreement, or guarantee that Optmable will accept a project.

Optmable reserves the right to decline inquiries, discontinue preliminary discussions, or choose not to submit a proposal at its discretion.

2.1 Confidentiality before an engagement

We understand that preliminary business discussions may involve sensitive information. Optmable will treat non-public business information expressly shared in connection with a potential engagement as confidential and use it only to evaluate, discuss, or prepare a potential engagement.

We will not disclose such information except to personnel and service providers who need it for these purposes and are subject to appropriate confidentiality obligations, with your authorization, or when disclosure is required by law.

This obligation does not apply to information that Optmable can demonstrate:

  • Is or becomes publicly available through no breach of these Terms.
  • Was lawfully known to Optmable before disclosure.
  • Is received lawfully from a third party without a confidentiality obligation.
  • Is independently developed without using the confidential information.
  • Must be disclosed under applicable law or a valid legal order.

Personal data is handled in accordance with our Privacy Policy and applicable data protection laws.

For highly sensitive information, source code, credentials, trade secrets, or regulated data, the parties may agree to additional confidentiality and security requirements before disclosure.

3. Client engagements and service agreements

These Terms govern use of the Website only. They do not, by themselves, establish a service agreement, partnership, employment relationship, agency relationship, or other commercial engagement between Optmable and a visitor.

Any project or service provided by Optmable is subject to a separate written agreement, statement of work, proposal, or other contractual document accepted by the relevant parties.

The applicable agreement will determine, as relevant:

  • Scope of work, deliverables, and project milestones.
  • Fees, payment terms, taxes, and expenses.
  • Timelines, dependencies, and client responsibilities.
  • Ownership and licensing of software, source code, designs, and other deliverables.
  • Maintenance, support, hosting, and service availability.
  • Confidentiality, data protection, and security obligations.
  • Acceptance criteria, change requests, termination, and other applicable conditions.

If a separate agreement conflicts with these Terms regarding the services covered by that agreement, the separate agreement will prevail for that specific engagement to the extent of the conflict.

Nothing on the Website guarantees a particular implementation, integration, business outcome, or delivery timeline.

4. Acceptable use

You may use the Website only for lawful purposes and in accordance with these Terms.

You agree not to:

  • Use the Website in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to the Website, its infrastructure, accounts, or related systems.
  • Interfere with the Website’s security, integrity, or availability.
  • Introduce malware, malicious code, or other harmful material.
  • Conduct unauthorized security testing, probing, or vulnerability exploitation.
  • Use automated systems to overload, disrupt, or abuse the Website.
  • Scrape, harvest, reproduce, or systematically collect Website content or data without authorization, except where permitted by applicable law.
  • Misrepresent your identity, impersonate another person, or submit fraudulent information.
  • Infringe the intellectual property, privacy, or other rights of Optmable or any third party.
  • Use the Website to distribute unlawful, deceptive, or harmful material.

Optmable may restrict or suspend access to the Website where reasonably necessary to protect its systems, users, business, or legal interests.

5. Intellectual property

Unless otherwise indicated, the Website and its content, including text, branding, logos, visual design, graphics, layouts, and original materials, are owned by Optmable or used under appropriate licenses and are protected by applicable intellectual property laws.

You may access, view, and share links to the Website for personal or internal business evaluation, provided that you do not misrepresent the content, remove proprietary notices, or otherwise violate these Terms.

You may not reproduce, modify, distribute, publicly display, commercially exploit, or create derivative works from Website content without prior written permission, except where permitted by applicable law.

The Optmable name, logo, and other brand identifiers may not be used in a manner that suggests endorsement, affiliation, or authorization without our prior written consent.

5.1 Client projects and deliverables

Ownership and usage rights relating to software, automations, AI systems, integrations, designs, documentation, and other materials developed for a client are governed by the applicable client agreement.

Unless expressly agreed otherwise, nothing on the Website grants a visitor ownership of, or a license to use, Optmable’s proprietary materials, internal tools, reusable components, methodologies, templates, or pre-existing intellectual property.

Third-party software, open-source components, APIs, AI models, and other external technologies may be subject to their own licenses and terms.

6. Third-party services and integrations

The Website or Optmable’s services may link to, depend on, or integrate with third-party products and platforms, including scheduling tools, hosting providers, cloud infrastructure, databases, messaging platforms, payment processors, and AI services.

These third-party services are operated independently of Optmable and may be governed by separate terms, privacy policies, technical restrictions, pricing, and availability conditions.

Optmable does not control third-party services and is not responsible for their independent policies, acts, omissions, outages, modifications, discontinuation, or security incidents, except to the extent liability cannot lawfully be excluded or where responsibility is expressly assumed in a separate agreement.

Where a client project depends on third-party services, the applicable agreement may specify the relevant dependencies, costs, account ownership, usage limits, and allocation of responsibilities.

7. Artificial intelligence and automation

Optmable may provide services involving artificial intelligence, machine learning, automated workflows, data processing, and integrations with external systems.

Unless expressly agreed otherwise in a separate written agreement:

  • AI-generated outputs may be inaccurate, incomplete, inconsistent, or unsuitable for a particular purpose.
  • Automated workflows may depend on the quality of input data, external systems, configuration, and third-party availability.
  • AI-generated content and automated decisions should be reviewed by an appropriately qualified person before being relied upon for consequential purposes.
  • No AI system or automation is guaranteed to operate without errors, interruptions, or the need for monitoring and maintenance.
  • Optmable does not guarantee specific commercial results, revenue increases, cost savings, productivity improvements, or other business outcomes.

AI and automation solutions should be configured and used in accordance with applicable laws, third-party terms, and any usage restrictions communicated for the relevant project.

The specific capabilities, safeguards, human oversight requirements, and responsibilities applicable to a client solution will be established in the relevant agreement.

8. Website availability and disclaimer

The Website is provided on an “as is” and “as available” basis, to the maximum extent permitted by applicable law.

Optmable makes reasonable efforts to maintain accurate information and reliable Website operation but does not guarantee that the Website will always be available, uninterrupted, secure, error-free, or current.

We may modify, suspend, discontinue, or restrict any part of the Website at any time, including for maintenance, security, operational, or business reasons.

To the maximum extent permitted by law, we disclaim warranties that are not expressly provided in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, where such disclaimers are legally permitted.

Nothing in this section excludes any warranty or right that cannot lawfully be excluded.

9. Limitation of liability

To the maximum extent permitted by applicable law, Optmable will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to the use of, or inability to use, the Website.

To the same extent, Optmable will not be liable for loss of profits, revenue, anticipated savings, business opportunities, goodwill, or data arising from Website use.

This section applies only to the Website and does not replace any liability allocation, warranty, remedy, or limitation expressly agreed in a separate client agreement.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any other liability that cannot legally be excluded or limited under applicable law.

Nothing in these Terms restricts mandatory consumer rights or other non-waivable legal protections that apply to a particular user.

10. Privacy and data protection

Optmable’s collection and processing of personal data in connection with the Website are described in our Privacy Policy:

Privacy Policy

By using the Website, you acknowledge that personal data may be processed as described in that policy and in accordance with applicable data protection laws.

If a client engagement involves processing personal data on behalf of a client, the parties may need additional contractual provisions addressing data processing roles, security measures, retention, subprocessors, and other applicable requirements.

Nothing in these Terms replaces any additional privacy or data processing agreement required by law or agreed between the parties.

11. Changes to these Terms

Optmable may revise these Terms from time to time to reflect changes in the Website, its operations, applicable law, or other relevant circumstances.

When changes are made, we will update the “Last updated” date on this page. The revised Terms will apply from the date they are published, unless otherwise stated.

Where required by applicable law, we will provide additional notice or obtain consent before applying material changes.

Your continued use of the Website after revised Terms become effective constitutes acceptance of those changes to the extent permitted by applicable law. If you do not agree to the revised Terms, you should discontinue using the Website.

Changes to a separate client agreement remain subject to that agreement’s own amendment provisions.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil, without prejudice to mandatory legal protections that may apply under the laws of another jurisdiction.

Subject to mandatory jurisdictional rules and non-waivable rights, disputes arising out of or relating to these Terms will be submitted to the competent courts of São Paulo, State of São Paulo, Brazil.

Nothing in this section prevents a party from seeking urgent interim relief from a court of competent jurisdiction where legally available.

13. General provisions

Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

No waiver. Failure to exercise or enforce any right under these Terms does not constitute a waiver of that right.

No assignment by users. You may not transfer your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by law.

Entire agreement regarding Website use. These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, govern your use of the Website. They do not supersede separate agreements governing client services.
